Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by SparkStream Digital ("Agency," "we," "us," or "our"), a sole proprietorship located in Langley, BC. By accessing our website (sparkstreamdigital.ca) or engaging our services, you agree to be bound by these Terms.

1. Services Provided

SparkStream Digital provides digital marketing services, including but not limited to:

High-performance web design and development.

AI implementation and workflow integration.

SEO and growth marketing strategy.

CRM setup and lead automation.

Reporting and analytics management.

2. Eligibility and Use

Our services are intended for professional use by small-to-medium businesses, freelancers, and service-based ventures. Users must be at least 18 years of age and capable of entering into a legally binding contract under the laws of British Columbia.

3. Payment and Billing Terms

Upfront Payment: All monthly retainer services require payment in full before the start of the service month.

No Refunds: No refunds will be issued for work that has already been performed or for retainer periods that have already commenced.

Late Fees: Invoices not paid within their due date are subject to a late fee of 3% of the total invoice amount, applied every 30 days until the balance is cleared.

4. Intellectual Property Rights

Agency Ownership: SparkStream Digital retains legal copyright and ownership of all underlying source code, design files, and custom programming created during the service.

Client License: Upon receipt of final payment, the Client is granted a perpetual, non-exclusive license to use the website and delivered assets for their intended business purposes.

Client Content: The Client retains all rights to any logos, trademarks, or content provided to the Agency for use in the project.

5. AI Usage and Responsibility

As part of our services, we may implement AI tools to generate content or automate responses.

Review Requirement: The Client is solely responsible for reviewing all AI-generated outputs (including but not limited to website copy, social media posts, and automated chat responses) for accuracy and legal compliance before they are published or used.

Disclaimer: SparkStream Digital is not liable for errors, hallucinations, or misinformation generated by third-party AI technologies.

6. Termination of Services

Retainer Cancellation: Clients may cancel a monthly retainer by providing at least 15 days' written notice before the next billing cycle.

Agency Rights: We reserve the right to suspend or terminate services immediately if the Client violates these Terms, fails to make payments, or engages in unlawful activity.

7. Limitation of Liability

To the maximum extent permitted by law, SparkStream Digital shall not be liable for any indirect, incidental, or consequential damages (including loss of profit or data) arising from the use of our services or any AI tools provided.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of British Columbia.
